Merck KGaA signs definitive deal to acquire Versum for €5.8 billion

Merck KGaA (Darmstadt, Germany) and Versum Materials (Tempe, Arizona) announced on Friday that the two companies have signed a defnitive agreement for Merck to acquire Versum for $53 per share. The deal received unanimous approval by both company’s boards. The combination will create a leading player in the electronic materials market focused on the semiconductor and display industries. Versum, a producer of high-purity process chemicals, gases, and equipment for semiconductor manufacturing, reported sales of approximately €1.2 billion ($1.4 billion) in fscal 2018. It operates 15 manufacturing and seven research and development facilities throughout Asia and North America and has achieved revenue and adjusted EBITDA compounded annual growth in excess of 10% over the last three fscal years with industry-leading adjusted EBITDA margins at 33%.
