Givaudan acquires stake in Naturex, plans buyout

Flavors and fragrances group Givaudan (Vernier, Switzerland) says that it has entered into an agreement to acquire 40.6% in Naturex (Avignon, France) for a total consideration of €522 million ($641.9 million), equivalent to €135/share. Givaudan says it intends to launch a mandatory cash tender offer for all of the outstanding shares of Naturex, also at a price of €135/share. The board of Naturex is fully supportive of the transaction.
