Tesoro Acquiring Western Refining In $6.4-Billion Transaction

Tesoro Corp. (San Antonio, Texas) said Nov. 17 it was acquiring Western Refining Inc. (El Paso, Texas) under a stock purchase agreement that includes assumption of debt. The $6.4-billion transaction has been approved by the boards of directors of both companies. Under the terms, Western shareholders can elect to receive Tesoro shares for each Western share they own or receive cash, subject to proration.
