CF and OCI amend merger agreement, move proposed HQ

CF Industries and OCI (Amsterdam) on Monday announced that they have amended their merger agreement originally announced on 6 August. Under the amendment, the jurisdiction of incorporation and tax residency of the new holding company has been changed from the United Kingdom to the Netherlands. The boards of directors of both companies have approved the amended merger. The transaction's anticipated close remains mid-2016 and is subject to approval by the shareholders of CF and OCI, as well as customary closing conditions and other regulatory approvals.
