Metso to buy Kvaerner Pulping and Kvaerner Power from Aker Kvaerner

The Finnish group Metso Corporation is planning to enlarge its range of products and services for the paper and pulp industry. Metso has come to an agreement with the Norwegian company Aker Kvaerner ASA to take over its pulp and paper division (Kvaerner Pulping) and energy division (Kvaerner Power). After the corresponding preliminary contracts were signed, the two companies stated that the planned acquisition is subject to the completion of due diligence process by Metso, the conclusion of the final purchase contract and to approval by the responsible government authorities. The companies are aiming to complete the planned transaction by mid-April 2006. The agreed cash and interest-bearing debt free enterprise value is ?335m, subject to closing adjustments. The acquisition will enable Metso Paper to complement its Fiber Business Line's product scope with Aker Kvaerner's technology.
