The paper explores the reasons why typical cases of Chinese enterprises�overseas mining investments fail,and analyzes the whole process of investment decision-making.It puts forward concepts of implicit decision-making indexes, etc.,and studies its characteristics,impacts and solutions.So it improves the effectiveness of investment decision-making system and the reliability of investment decision-making model,further reducing the risk of proj ect investment.%探究了中国企业海外矿业投资典型案例失败的原因，并分析了投资决策的全过程。提出隐性决策指标等概念，对其特点、影响及应对措施进行了研究，从而提升投资决策系统的有效性和投资决策模型的可靠性，进一步降低项目投资风险。
