浅析控股股东的诚信义务

公司控股股东滥用控制权，由此引起的弊端众多，因此，确立、强化控股股东的诚信义务，防止控制权之滥用成为各国公司法上的重大课题之一。它关乎到广大中小股东及公司利益的维护和大众对资本市场信心的维系。本文就控股股东的诚信义务作了剖析，针对我国新《公司法》的不足，提出了以强化控股股东诚信义务为重心的制度构建设想和立法建议。%The abuse of power by the controlling shareholders, resulting in many problems. Therefore, strengthen the establishment of controlling shareholders of good faith, to prevent the abuse of control power has become one of the major task for every company law. It relates to the interests of minority shareholders and the company's maintenance and the capital to maintain market confidence. In this paper the fiduciary duty of controlling shareholders are analyzed, aiming at the deficiency of China's new"company law", put forward to strengthen the fiduciary duty of controlling shareholders for the ideas and suggestions to build the center of gravity of the system.
