论农村集体经济组织特别法人

摘要

研究目的:分析农村集体经济组织法人内涵并探寻其规制路径.研究方法:规范分析法,实证研究法,演绎法,归纳法.研究结果:农村集体经济组织法人应具有法人的一般属性,《民法总则》中关于法人的一般规定适用于农村集体经济组织法人,对农村集体经济组织法人特别属性的探寻和建构,应从既存规范性文件出发,着眼于当前改革实践的实然态,并落脚于国家政策性规范指引的立法应然态.研究结论:农村集体经济组织法人规制,在国家法层面,应统一规范其功能定位、财产构成并限制其经营行为,而集体成员身份认定和股权设置等内容,应交由地方性法规作原则性规定并由农民集体自决.%The purpose of this paper is to analyze the connotation and explore the regulation path in regard to rural collective economic organizations special juridical person. The methods used include legal analysis, empirical analysis, deductive and inductive method. The results indicates that the rural collective economic organizations should have the general attributes of juridical person, and the general provisions about the juridical person in General Provisions of Civil Law is applicable to the rural collective economic organizations. The exploration and construction of the special attributes of rural collective economic organizations should start from the existing law, focus on local current reform practice and be incompatible with the national policy guidelines. In conclusion, the law should regulate the function, property and operations of rural collective economic organizations. And the membership of the collective organization, share division and other relevant issues should be settled and determined by local regulations and farmers' willingness.
