Implication,specific content and operation mechanism of the pattem that industrial upgrading of high-tech zones is dnven by intellectual capital from others area have been elaborated in this paper,on the basis of combing related research achievements about intellectual capital and industrial upgrading of high-tech zones which are driven by intellectu al capital elements from others regions,and with view of intellectual capital capacity and status quo of enterprises in high-tech zone from less developed regions.Some countermeasure suggestions have been put forward further in order to construct this pattern in the paper,such as transforming the concept of industrial development in less developed high-tech zones,deepening the reform of talent employing mechanisms within a provinces or autonomous region,promoting system innovation of high-tech zone management,increasing investment in human capital in high-tech zone,implementing the introduction of key technologies as well as the promotion of common technology,and strengthening investment in relationship capital,and so on.%在梳理智力资本理论和外来智力资本要素牵动高新区产业升级理论的基础上,结合欠发达地区高新区内智力资本和企业实力状况,阐述外来智力资本牵动高新区产业升级模式的内涵、内容及其运作机理；提出以转变产业发展观念、深化省区用人机制改革、推进高新区管理制度创新、增加高新区人力资本投资、实施好关键技术引进和技术推广以及强化关系资本投入等为主要内容的高新区产业升级模式的构建对策建议.
